Williams-Sonoma Reserve® Program

Welcome to the Terms and Conditions (the "Terms and Conditions") for the Williams-Sonoma Reserve® Program (the "Reserve Program" or "Reserve"). These Terms and Conditions govern the Reserve Program, which is brought to you by Williams-Sonoma, Inc. and its affiliates (collectively, "Williams-Sonoma", "we" or "us"). Your use of the Williams-Sonoma.com website and your membership in the Reserve Program ("Reserve Membership") are also subject to our website Terms and Conditions and our Privacy Policy. Your Reserve Membership subjects you to these Terms and Conditions; please review these Terms and Conditions carefully.

1. MEMBERSHIP BENEFITS.
Your Reserve Membership entitles you (the "Member") to free standard shipping on eligible purchases, including gift cards. There is no minimum purchase requirement.

In addition, we may offer periodic Member-specific promotions, which we will notify you about via email to your email address that you provide to us.

2. ELIGIBLE PURCHASES.
After sign-in as a Member to the Williams-Sonoma.com website, all eligible items will be identified by a Free Shipping indicator Ships Free that will appear next to the item. Such items may change at any time without notice at our discretion. The Reserve Program only applies to items purchased online after sign-in as a Member to the Williams-Sonoma.com website and does not apply to items purchased without valid Reserve Membership sign-in. The Reserve Program is valid on Williams-Sonoma.com only, and does not apply to purchases made on any of our other affiliated brands.

Certain items are excluded from eligibility, including but not limited to:

• Oversized items or items requiring special handling as denoted by a flat-rate delivery fee after the item price;
• Purchases made through the Williams-Sonoma Wine Club;
• Purchases of a Williams-Sonoma eGift Card; and
• Returned items.

Most items are shipped from our warehouse by UPS to arrive within five business days from our receipt of your order; however, we cannot guarantee delivery dates. For Rush Shipping, a $15.00 rush shipping charge will be added to the cost of your item. For residents of Alaska and Hawaii, a $5.00 shipping charge will be added to the cost of your item. For the Free Shipping benefit to apply, your Reserve Membership account must be active at the time of purchase. There will be no retroactive reimbursements for purchases made without an active Reserve Membership account.

3. RESERVE MEMBERSHIP CONDITIONS.
Receipt of Reserve Membership benefits is limited to active Reserve Membership account holders. We reserve the right to accept or refuse Reserve Membership applications at our discretion.

Members must submit and maintain accurate and current user information in connection with their Reserve Memberships, including name, address, email address, and telephone number. Members must be age 18 or older. Members can change their account information by (i) updating Member profile data through their www.williams-sonoma.com account, or (ii) calling Customer Service at 877.812.6235.

Members may not use their Reserve Memberships for purchases made for the purpose of resale.

Reserve Memberships are for individual use only and are non-transferable or assignable.

If you make a purchase including some eligible items and some items that are not eligible for free shipping, you will be required to pay the shipping charges for the ineligible items.

4. RESERVE MEMBERSHIP FEE.
The annual Reserve Membership fee is currently $30. Reserve Membership fees are subject to taxation in accordance with applicable federal or state law. The annual Reserve Membership fee of $30 does not include applicable taxes. We may change the Reserve Membership fee at any time, but changes will apply only to new and renewal Reserve Memberships. The fee is not refundable.

5. RESERVE MEMBERSHIP TERM; RENEWAL.
The term of a Reserve Membership shall commence on the date it is purchased and continue for one year unless earlier canceled or terminated according to these Terms and Conditions.
The term of a Reserve Membership will automatically renew for additional one year terms, unless either party gives the other party notice of non-renewal before the end of the then current term according to these Terms and Conditions.

6. CANCELLATION; TERMINATION.
You have the right to cancel your Reserve Membership at any time; however, you will not be entitled to a refund of your Reserve Membership fee. To cancel your Reserve Membership, please call Customer Service at 877.812.6235.

We may terminate any or all of the benefits available under the Reserve Program at any time with or without notice. If we terminate the Reserve Program, at our option, we will either continue offering you your Reserve Membership benefits until the expiration of your Reserve Membership term, or we will refund you a pro rata portion of the Reserve Membership fee for the remaining portion of your Reserve Membership term.

In addition, we may temporarily freeze and/or terminate your account if we suspect any abuse or fraudulent use of your Reserve Membership. We will notify you in the event that we take any such action, and you will not be entitled to a refund of your Reserve Membership fee.

7. PRIVACY POLICY.
The information we collect about you will be subject to our Privacy Policy, as it may be amended from time to time. You may view the current version of our Privacy Policy at any time online at www.williams-sonomainc.com/privacy/#pp, or you may request a copy by calling Customer Service at 877.812.6235.

8. DISCLAIMERS; LIMITATION OF LIABILITY.
USE OF THE RESERVE PROGRAM AND ANY OF ITS ASSOCIATED BENEFITS IS AT YOUR SOLE RISK. WILLIAMS-SONOMA, INC. AND ITS AFFILIATES, DIRECTORS, OFFICERS, AGENTS, EMPLOYEES OR OTHER REPRESENTATIVES (COLLECTIVELY "WILLIAMS-SONOMA") EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

IN NO EVENT WILL WILLIAMS-SONOMA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR RESERVE MEMBERSHIP, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES.

THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR RESERVE MEMBERSHIP. CERTAIN STATE LAWS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

9. GOVERNING LAW.
These Terms and Conditions are governed by, and construed in accordance with, the laws of the State of California, without regard to conflict of law principles.

10. BINDING ARBITRATION.
Any controversy or claim arising out of or relating to these Terms and Conditions (including any breach thereof) or the Reserve Program shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (including without limitation the Supplementary Procedures for Consumer-Related Disputes), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated with any claim or controversy of any other party. The foregoing shall not preclude Williams-Sonoma, Inc. from seeking any injunctive relief in State or Federal courts for protection of their respective intellectual property rights (including such rights of their respective licensors).

11. ACKNOWLEDGMENT.
These Terms and Conditions and all documents referenced herein represent the entire understanding between Williams-Sonoma and any user of the Reserve Program. Membership in the Reserve Program is deemed to be acceptance of these Terms and Conditions.

12. CHANGES TO THESE TERMS AND CONDITIONS.
We may change the terms of these Reserve Program Terms and Conditions at any time without notice to you by posting revised Terms and Conditions at www.williams-sonoma.com/products/reserve-membership-shipping/. Any change shall take effect immediately, unless otherwise indicated. We may also increase the Reserve Membership fee at any time; however, any fee increase will not apply to your Reserve Membership until your Reserve Membership is renewed. You may view these Terms and Conditions at any time online at www.williams-sonoma.com/products/reserve-membership-shipping/. You may also obtain a copy at any Williams-Sonoma store or by calling Customer Service at 877.812.6235.

Your continued membership in the Reserve Program after we change these Terms and Conditions constitutes your acceptance of any and all changes.
