2. SPONSOR: The sponsor of the Sweepstakes is Williams-Sonoma, Inc. ("Sponsor"), 3250 Van Ness Avenue, San Francisco, CA 94109. The prize provider of the Sweepstakes is Piaggio Group America, Inc. ("Piaggio" and/orPrize Provider"), 257 Park Ave South, 4th Floor, New York, NY, 10010. This promotion is in no way sponsored, endorsed, administered by, or associated with, Facebook. You understand that you are providing your information to Sponsor, its affiliated brands and Prize Provider, and not to Facebook. The information you provide will only be used for the purpose of communications from Sponsor, its affiliated brands and Prize Provider.
3. SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00:00 pm PST on August 25th and ends at 11:59:59 pm PST on September 22nd ("End Date").
4. ELIGIBILITY: The Sweepstakes is open only to residents of the 50 United States of America or the District of Columbia (excluding Rhode Island) who are 18 years of age or older as of their time of entry. Employees and agents, including their family (parents, children, siblings, spouse) and members of their household (whether or not related), of Sponsor and its subsidiaries, affiliates, parent companies, distributors, divisions, agencies or of any related entity, including any consultants to Sponsor, are not eligible to participate in the Sweepstakes.
5. PRIZES: ONE (1) GRAND PRIZE is available to Grand Prize Winner. The eligible Grand Prize Winner will receive a Vespa LX 50, ("Vehicle"), approximate retail value ("ARV"): $3299. The Grand Prize Winner will be responsible for any additional costs associated with the Vehicle, including, without limitation, title, tax, license, PDI (pre-destination inspection), registration, shipping, insurance, and any additional accessories and options as agreed to between Grand Prize Winner and the authorized Vespa USA dealership location at which the vehicle will be delivered, as determined by Prize Provider in its sole discretion. Grand Prize Winner will be responsible for pick-up of the Vehicle at a time and location determined in the sole discretion of Prize Provider (Prize Provider will endeavor, as a courtesy, to select a dealership close to the residence of the Grand Prize Winner). Grand Prize Winner (or his/her parent/legal guardian, if applicable) is also responsible for shipping organization and shipping charges from the authorized Vespa USA dealership whereat pick up is scheduled to any other location if Grand Prize Winner is unable or unwilling to accept delivery at such dealership. No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value, in whole or in part, for any reason. GRAND PRIZE WINNER IS SOLELY RESPONSIBLE FOR COMPLYING WITH ANY APPLICABLE FEDERAL, STATE AND/OR LOCAL LAWS AND REGULATIONS APPLICABLE TO THE VEHICLE, INCLUDING, WITHOUT LIMITATION, REGISTRATION REQUIREMENTS AND OPERATING RESTRICTIONS. THE INTERNAL REVENUE SERVICE REQUIRES A FORM 1099 MISC TO BE ISSUED AND FILED FOR ANY PRIZE WINNER IF THE ANNUAL AGGREGATE VALUE OF THE PRIZES RECEIVED IS $600 OR MORE. SWEEPSTAKES ORGANIZER WILL ISSUE A FORM 1099 MISC TO THE GRAND PRIZE WINNER FOR THE ARV OF THE GRAND PRIZE. FEDERAL, STATE AND LOCAL TAXES ARE THE RESPONSIBILITY OF EACH GRAND PRIZE WINNER.
6. ODDS: The odds of winning depend upon the number of eligible entries received.
7. HOW TO ENTER: There are two (2) ways to enter the Sweepstakes: Go to the Williams-Sonoma Facebook page (www.facebook.com/williamssonoma) and click on the "Vespa Sweepstakes" link below the profile image on the left hand side, follow the instructions entering your name, email address, date of birth, and zip code into the form fields and click on the "Submit" button. Or send an email with your full name, email address, date of birth, and zip code to enter@williams-sonoma.com with a subject line of "Entry for Vespa Sweepstakes" All entries must be received by the End Date. Only one entry per family unit is allowed (a family unit is those persons having the same last name and address). All entry information and materials become the property of Sponsor and will not be acknowledged or returned.
8. WINNER SELECTION: The Grand Prize Winner will be determined by a computerized random selection conducted by Sponsor from among all eligible entries on or around September 23rd in San Francisco, California. All results of the selections are final and binding, subject to these Official Rules. In the event a winning entry is discovered to be invalid for any reason whatsoever or the person who submitted the winning entry fails to comply with these Official Rules prior to delivery of the prize, the prize may be forfeited and awarded to an alternate Grand Prize Winner. If selected, when Grand Prize Winner does not take delivery of Vehicle by November 1, 2011, Grand Prize may be forfeited, at Prize Provider’s sole discretion, and may be awarded to an alternate Grand Prize Winner in accordance with Sweepstakes Official Rules. Prize Provider and Sweepstakes Organizer are not responsible for delays in delivery. All other expenses and items not specifically mentioned in these Official Rules are not included and are the Grand Prize Winner’s sole responsibility. Grand Prize may not be exchanged. No transfer, substitution or cash equivalent of Grand Prize permitted. Prize subject to availability and substitution with a prize of equal or greater retail value if Grand Prize is unavailable or cannot be awarded for any reason, at sole discretion of Prize Provider and Sweepstakes Organizer. The value of the Grand Prize set forth above represents Prize Provider’s and Organizer’s good faith determination of the ARV thereof and cannot be challenged or appealed. In the event the ARV of a prize is more than the actual retail value of the prize, the difference will not be awarded in cash or otherwise. If by reason of a printing, computer or other error, more prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a computerized random selection to award the advertised number of prizes available. No more than the advertised number of prizes will be awarded.
9. NOTICE TO WINNER: Attempts to notify the potential Grand Prize Winner will be made by email within thirty (30) days of the computerized random selection. Sponsor is not responsible for lost, stolen, late or misdirected mail or delivery or communication problems of any kind. If unable to make contact with the Grand Prize Winner within thirty (30) days after Sponsor first attempts to notify the Grand Prize Winner, or if the Grand Prize Winner fails to claim the prize within thirty (30) days after Sponsor first attempts to notify the Grand Prize Winner, the Prize may be forfeited and awarded to an alternate Grand Prize Winner.
10. VERIFICATION OF WINNER: Grand Prize Winner must complete all documentation required by Sweepstakes Organizer and Prize Provider. At time of award of Vehicle, Grand Prize Winner (i) will assume full ownership of and responsibility for the Vehicle; (ii) will be required to sign various documents involving the Vehicle; and (iii) must furnish proof of residence, valid operator’s license as required by the law of the Grand Prize Winner’s jurisdiction of residence and of the jurisdiction of pickup and any required insurance coverage. The Grand Prize Winner is responsible for determining the class of license necessary to legally operate the Grand Prize. Prize Provider reserves the right to withhold delivery of the Vehicle if Grand Prize Winner does not comply with the above requirements. The potential Grand Prize Winner may also be required to sign, notarize and return to Sponsor an Affidavit of Eligibility and a Prize and/or Publicity Release. There is typically a fee of $10.00-$15.00 for the services of a Notary Public. Notaries Public can be found at most bank locations, as well as other locations.
11. Sponsor is not responsible for telecommunications, network, electronic, technical or computer failures of any kind, including any which may affect your entry or the Sweepstakes. Sponsor is not responsible for lost, stolen, misdirected, mutilated, late or illegible entries. Entries not in compliance with these Official Rules are disqualified. Sponsor shall have the absolute right to determine if an entry is in compliance with these official rules without notice to the person attempting to enter. Sponsors have made no warranty or guarantee in whole or in part, express or implied, in fact or in law, in relation to the use of any prize including, but not limited to, its quality, merchantability, fitness for a particular purpose or suitability for use and, further, accepts no responsibility for any additional expenses, omissions, delays, re-routing or acts of any government or authority.
12. By entering the Sweepstakes, each participant warrants that he or she has read and agrees to abide by these Official Rules and that he or she is not prohibited from participating in the Sweepstakes. Each participant agrees to release, indemnify and hold harmless the Sweepstakes Organizers, all Prize Providers, including Prize Provider, authorized Vespa retail dealers, and all their respective parent companies, affiliates, subsidiaries, advertising and promotions agencies, and each of their respective agents, dealers, representatives, officers, directors, shareholders, and employees (collectively, "Released Parties") from and against any injuries, losses, damages, claims, actions, or liability of any kind resulting from or arising from participation in the Sweepstakes, including without limitation, personal injury, death, property damage, claims based on publicity rights, defamation, invasion of privacy, or acceptance, possession, use, misuse or non use of any prize that may be awarded. Released Parties are not responsible for printing or typographical errors in any Sweepstakes related materials; for transactions or entries that are lost, stolen, late, misdirected, damaged, incomplete, inaccurate, garbled, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, paper transfer, human or other error; or for electronic, computer, or telephonic malfunction or error, including inability to access any web site associated with this promotion, or process any transaction thereon.
13. By entering the Sweepstakes, participants consent to the use of their name, likeness, image and biographical data for advertising and promotional purposes without additional compensation, except where prohibited by law. BECAUSE SPONSOR COLLECTS PERSONAL INFORMATION FROM PARTICIPANTS ENTERING THE SWEEPSTAKES, SPONSOR ENCOURAGES ALL PARTICIPANTS TO REVIEW ITS PRIVACY POLICY, WHICH CAN BE REVIEWED AT WILLIAMS-SONOMA.COM.
14. Sponsor reserves the right to suspend or cancel the Sweepstakes or modify these Official Rules as necessary for any reason or as required by applicable law. Sponsor reserves the right, at its sole discretion, to disqualify from the Sweepstakes, and ban from any future promotions, any person it believes to have intentionally violated these Official Rules or tampered with any element of the Sweepstakes without notice to the disqualified or banned person. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
15. The construction, validity, interpretation and enforceability of these Official Rules, and the rights and obligations of entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of laws rules or provisions. Any legal claims arising out of or relating to the Sweepstakes or these Official Rules must be brought in the federal or state courts located in San Francisco, California.
